ANSWER: The Bylaws should be reviewed and followed and the Board of Directors should record any significant transaction or activity that have NOT previously been the subject of any special meeting the prior year. Significant transactions might include: officers elected, salaries of employees, issuance or purchase of stock, acceptance of resignation, termination or appointment of managers or a change of business name, registered office address or registered agent.
